Indemnification

Dispute Resolution

Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at https://support.domussolis.biz and attempt to resolve any dispute informally. We will attempt to resolve disputes through good faith negotiation for a period of at least thirty (30) days before either party may initiate formal proceedings.

Mandatory Mediation

If we are unable to resolve a dispute through informal negotiation, you agree that any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be submitted to mediation administered by a mutually agreed-upon mediator in Hennepin County, Minnesota. The costs of mediation shall be shared equally by the parties, except that each party shall bear its own attorneys' fees and costs.

Binding Arbitration

If mediation does not resolve the dispute within sixty (60) days, either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Hennepin County, Minnesota, and shall be conducted by a single arbitrator. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than arbitration, you waive any right to a jury trial.

Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Governing Law and Jurisdiction

These Terms and any disputes arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles.

For any matters not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Hennepin County, Minnesota.

Termination

Termination by You

You may terminate your account at any time by contacting us at https://support.domussolis.biz or through your account settings, if available. Termination of your account does not entitle you to any refund of fees paid.

Termination by Us

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

Conduct that we determine, in our sole discretion, is harmful to other users, third parties, or our business interests;
Extended periods of inactivity;

Effect of Termination

Upon termination:

We may delete your account information and User Content;
Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification obligations, limitations of liability, and dispute resolution provisions.

General Provisions

These Terms, together with our Privacy Policy and any other legal notices or policies published on the Site, constitute the entire agreement between you and Domus Solis LLC regarding the Services and supersede all prior agreements and understandings.

Severability
